Dazr Suite terms of use

Who you agree with
These terms are an agreement between you and Dazr, Viale Cesare Poggi 1, 15061 Arquata Scrivia (AL), Italy, VAT IT 02801250065 (“Dazr”, “we”). By using Dazr Suite you accept them. If you use Dazr Suite for an organisation, you accept them for that organisation and confirm that you may do so.
Your account
You use Dazr Suite with your Dazr Identity account. The Dazr Identity terms of use apply to that account.
Your content
You keep all rights to the files and documents you store. You give us only the permission we need to store them, process them and show them to you and the people you give access to, so that we can provide Dazr Suite. You are responsible for your content and for having the right to store and share it.
Storage
On the free plan your account has 25 GB of storage, and each organisation space has its own 25 GB; paid plans add more. When you reach the limit, you cannot upload or save more until you free up space. Deleted files stay in the trash for 30 days, and each file keeps up to 10 earlier versions.
Plans and payment
Dazr Suite has a free plan and paid plans. The prices and what each plan includes are on the pricing page. Paid plans are paid in advance, monthly or yearly; a year costs eleven times the monthly price. Payments are processed by Mollie B.V. (Amsterdam). You get an invoice for every payment; invoices are numbered in order and never changed, and a correction or refund is always made with a credit note.
- Renewal and cancelling. A paid plan renews automatically at the end of each period. You can cancel at any time; your plan then stays active until the end of the period you paid for, and you can resume it before then.
- Changing your plan. More (a higher plan, more users or storage, or monthly to yearly) starts at once: you pay the new price for the rest of the current period, less the unused part of what you already paid, and we show the amount before you pay. A move from monthly to yearly starts a new year that day. Differences under €1 are not charged. Less (a lower plan, fewer users or less storage, or yearly to monthly) takes effect at the end of the paid period.
- Plans for your company. An organisation can buy Starter, Pro or Enterprise. Its owners and admins choose the people on the plan, and each of them gets the storage the plan includes for a person; a member who pays for Personal themselves keeps that plan. When the organisation takes someone off the plan, or they leave, they keep their own plan if they have one, or move back to the free plan.
- Earlier prices. If you pay for Personal, the Company plan or Personal plans for members at the earlier prices, you keep those prices and that storage, also when you change your extra storage, the number of plans or the billing period, until you move to another plan. A Personal plan given out on the Company plan works as before: when a member who pays for Personal themselves gets one, their own plan stops renewing and runs until the end of the period they paid for, and we tell them by email.
- Right of withdrawal. If you buy a plan as a consumer in the EU, you can withdraw within 14 days of buying it, without giving a reason, on your plan page or by writing to billing@dazr.eu. Because you ask us to start your plan at once, we keep a proportionate amount for the days until you withdrew if at that moment you store more than the free plan includes; otherwise we refund everything. We refund within 14 days, to the original payment method.
- Failed payments. If a renewal cannot be collected, we try again twice within 14 days and email you each time. You can pay or change your payment method at any time. If it is still unpaid after 14 days, the plan ends and you move to the free plan.
- Reversed payments. If your bank reverses a payment (a chargeback), the paid plan stops at once and you move to the free plan. Write to billing@dazr.eu to sort it out.
- Nothing is deleted. When a plan ends or gets smaller, we never delete your files or documents. Above what the free plan includes, you can still open and download everything, but you cannot add more until you are within it again.
- VAT. Prices for businesses exclude VAT. Italian customers pay Italian VAT. Businesses in another EU country with a VAT number confirmed in the EU VIES system are invoiced without VAT under the reverse-charge rule; if VIES cannot be reached when you pay, we charge VAT, and once the number is confirmed (within 60 days) we correct the invoice with a credit note and refund the VAT. Private customers in the EU pay the VAT of the country they live in. Paid plans are available in the EU only.
- Refunds. There is no refund for the rest of a period when you cancel or move to a smaller plan, because the plan stays active until the end of that period. Refunds we make go back to the original payment method.
Organisation spaces
An organisation’s space belongs to the organisation. Its owner and admins decide who is a member and whether members may change files. When you leave an organisation, you lose access to its space; the files you added there stay. Copy any files you need to My files before you leave.
Sharing files
When you share a file as Can view, the people you share it with, and anyone they pass the link on to, can view and download it without an account, and make their own copy with a Dazr account, until the link expires or you turn it off. Share only with people who may see the file, send no unsolicited email, and turn off access you no longer need. In an organisation space, the links you created stop working when you leave the organisation.
When you share a file in My files as Can edit, the person you invited can change it, live with you, once they sign in with a Dazr account using the invited email address. Their changes become part of your file and count towards your storage, and they cannot rename, move, delete or share it unless you allow editors to share. You can change or end their access at any time. When someone invites you to edit their file, the file stays theirs: edit it as they intend, and keep your own copy of anything you need.
Data processing for organisations
When you use Dazr Suite for an organisation, the Dazr Suite data processing agreement applies to the personal data the organisation stores in it, and is part of these terms.
File formats
Docs, Sheets and Slides open and save common office formats. Converting between formats can change the layout or drop features, so check important documents after converting.
Fair use
Do not use our services to break the law, to send spam or malware, to infringe other people’s rights or to mislead people. Do not try to get around our limits or security checks, to overload our systems, or to test them for weaknesses without our permission. If you find a security problem, tell us at security@dazr.eu.
Ending
You can delete files, or your whole account with all its files, at any time.
We may suspend or limit your access if you break these terms, if your use puts other people or our services at risk, or if the law requires it. Where we can, we tell you first and give you a chance to fix the problem.
No warranty
We do our best to keep our services available and working well, but we provide them “as is”, without warranties beyond those the law requires, including EU consumer law. We do not promise that they will always be available or free of errors.
We work to keep your files safe, but keep your own copies of files that matter to you.
Liability
As far as the law allows, Dazr is not liable for indirect, incidental, special or consequential damage, or for lost profits or lost data, arising from your use of our services. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited under applicable law.
Privacy
How we handle personal data is described in the Dazr Suite privacy notice.
Changes to these terms
We may update these terms. The current version is always on this page, with its date at the top. If you keep using the service after a change, the new terms apply; if you do not agree, stop using it.
Governing law
These terms are governed by Italian law. Disputes are heard by the courts of Italy, except where mandatory consumer protection rules of the country where you live give you the right to go to court there.
